1. Introduction

These Terms & Conditions (“Terms”) govern your use of Xparo’s mobile application, website, and related services. By creating an account or using our platform, you agree to be bound by these Terms.

XPARO GLOBAL L.L.C is currently registered under the laws of Georgia, with its operational headquarters in Tbilisi, Georgia. We intend to register our intellectual property in the Republic of Estonia in the future to align with European Union regulations on intellectual property and consumer protection.

If you do not agree to these Terms, you must stop using Xparo immediately.

2. Services

Xparo provides an online marketplace connecting customers and vendors in multiple service categories, including Tourism, Translation, Education, Immigration, Wellness, Home Maintenance, and Legal Services.
Xparo acts solely as an intermediary and is not responsible for the performance, quality, legality, or outcome of vendor services.

3. User Accounts

  • You must provide accurate, complete, and up-to-date information.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activities conducted under your account.
  • Xparo may suspend or terminate accounts for violations of these Terms or applicable law, with or without notice.

4. Vendors

  • Vendors must complete KYC verification and comply with all applicable local laws and regulations.
  • Vendors are solely responsible for their services, pricing, quality, and legal compliance.
  • Vendors must ensure that all user-generated content (e.g., service descriptions, images) does not infringe third-party rights.

5. Payments & Fees

  • All payments are processed through secure, PCI-DSS compliant third-party gateways (e.g., Stripe).
  • Xparo does not store full credit card numbers.
  • Users are responsible for any applicable transaction fees, currency conversion fees, or bank charges.
  • Xparo is not liable for payment delays caused by third-party processors.

6. Prohibited Activities

You may not:

  • Use the platform for illegal or fraudulent activities.
  • Post false, misleading, or defamatory information.
  • Harass, abuse, or threaten other users.
  • Upload content that infringes any intellectual property rights.

7. Intellectual Property

All intellectual property rights in the Xparo platform, including software, trademarks, design, and content, remain the exclusive property of Xparo and its licensors.

Xparo grants you a limited, non-exclusive, non-transferable, revocable license to use the platform for personal or business purposes in accordance with these Terms.

8. Limitation of Liability

To the maximum extent permitted by law, Xparo’s total liability to you for any claims arising out of or related to the platform shall not exceed the greater of: (a) the total amount you paid to Xparo in the last 3 months, or (b) €100.

Xparo is not responsible for indirect, incidental, special, or consequential damages.

9. Indemnification

You agree to indemnify, defend, and hold harmless Xparo, its affiliates, and employees from any claims, damages, or expenses arising from your use of the platform, your violation of these Terms, or your infringement of any rights of another party.

10. Force Majeure

Xparo shall not be liable for delays or failures caused by events beyond its reasonable control, including but not limited to natural disasters, internet outages, strikes, government actions, or acts of war.

11. Dispute Resolution

Any disputes shall be resolved in the courts of Georgia (current registration).

Upon completion of IP registration in Estonia, disputes relating to intellectual property may be resolved under the jurisdiction of Estonian courts.

You may also have the right to raise a complaint with your local consumer protection authority.

12. Changes to Terms

Xparo may update these Terms from time to time. Continued use of the platform after updates constitutes acceptance of the revised Terms.

13. Refund & Cancellation Policy

(Integrated into Terms & Conditions)

13.1 General Principles

  • Xparo is an intermediary platform connecting customers and vendors. Refund eligibility depends on the vendor’s specific cancellation policy and applicable law.
  • Some services are non-refundable; such cases will be clearly indicated prior to purchase or booking.
  • All refund requests must be submitted through the Xparo app or by email to support@xparodise.com.

13.2 Eligibility for Refunds

Refunds may be granted if:

  • The vendor cancels the booking before the scheduled service date/time.
  • The service was not delivered as described and you report the issue within 48 hours of the scheduled completion time.
  • The payment was processed in error or due to a technical fault on the Xparo platform.

Refunds will not be granted if:

  • You fail to attend or participate in the booked service without valid notice.
  • You cancel after the vendor’s stated cancellation deadline.
  • The service was completed to the agreed standard.

13.3 Cancellation Policy

  • Customer-Initiated Cancellations: Must be made within the cancellation window specified in the service listing. Late cancellations may result in partial or no refund.
  • Vendor-Initiated Cancellations: Customers will receive a full refund or the option to reschedule at no extra cost.

13.4 Refund Process & Timeline

  • Approved refunds will be processed within 7–14 business days to the original payment method.
  • Processing times may vary depending on your payment provider, bank, or currency conversion.

13.5 Special Cases

  • For services requiring upfront material purchases, refunds may exclude the cost of materials already purchased.
  • Multi-session packages may have prorated refunds based on unused sessions.

13.6 Dispute Resolution for Refunds

If you disagree with a vendor’s refund decision, you may escalate the matter to Xparo’s support team for review.
Xparo’s decision in such disputes will be final, subject to applicable laws.
